Terms of Service
These terms govern access to Comma. By creating an account or using the service, you agree to them. If you use Comma for a company or another person, you confirm that you have authority to act for them.
The service
Comma is double-entry accounting software. Features may change as the product develops, and we will give reasonable notice of a material reduction in service where practicable.
Plans & billing
Comma has three paid plans: One, Group, and Scale. Every plan includes the same accounting, collaboration, bank-feed, document-branding, receipt-extraction, and role-scoped MCP read and write capabilities. They differ by included capacity: one, three, or ten corporations. Additional corporations can be purchased separately.
Prices are exclusive of tax. Applicable sales taxes are calculated and added at checkout based on your billing address. Catalogue prices and settlement are in Canadian dollars. Stripe may display a supported local presentment currency through Adaptive Pricing before confirmation.
Subscriptions renew automatically for the interval you chose, monthly or annually, until cancelled. You may cancel at any time; cancellation takes effect at the end of the period you have already paid for, and we do not refund the remainder of a period. Adding a company mid-period is charged pro rata, and removing one issues a pro-rata credit against future invoices.
A new billing account may start one 30-day trial. A payment method is required, and Stripe shows the exact first charge date before you confirm. The trial cannot be paused or restarted. Cancel before the displayed charge date to avoid the first subscription charge.
If a renewal payment fails, access continues while Stripe reports the subscription as past due and retries under the configured collection schedule. Access becomes read-only when Stripe reports it unpaid, paused, or cancelled.
What happens after access ends
Comma does not offer a free operating tier. When paid or trial access ends, we do not silently delete or rewrite your books. Companies become read-only, and authorized users can review and export retained records.
A read-only company stays available to read, export, and delete for 12 months. We will contact you before that period ends, and you can download a complete copy of your data at any time during it. Restoring a subscription with enough capacity restores full access. After the 12 months, retained data may be permanently deleted.
Documents you have already issued: invoices, credit notes, and statements: are never altered by a plan change. They keep the branding and content they were issued with.
Payments & our processor
Payments are processed by Stripe. We do not receive or store your full card details. Your name, email, billing address, and subscription details are shared with Stripe to take payment, calculate tax, and issue receipts, and are handled under Stripe's own terms and privacy policy. Invoices and payment methods are managed through the billing portal in your Comma settings.
Accounting & private preparation tools
Comma is a recordkeeping and preparation tool, not an accountant, tax preparer, lawyer, financial adviser, bank, or filing service. You are responsible for reviewing your books, approvals, payment instructions, deadlines, and filings. Personal and Canadian federal/Ontario income- tax workbenches are available only to accounts explicitly enabled for the private preview. Their output depends on the information, assumptions, and supported-case limits shown in the product. Comma prepares workpapers and packages but never NETFILEs, EFILEs, files, pays, or transmits a return. Have a qualified professional review the package and file through appropriate external software.
Your account & company access
Provide accurate registration information and keep your credentials confidential. Two-factor authentication is strongly recommended and is required for sensitive bank-connection actions. You are responsible for activity authorized through your account. Company admins control memberships and roles, and removing a user or changing a role changes that person's access.
Your data
You retain your rights in the records you enter. You give Comma a limited permission to host, process, and transmit those records only as needed to operate, secure, and support the service. You must have the right to provide the data, including information about customers, vendors, employees, and owners. Available ledger and document exports, plus private personal-finance and income-tax exports when your account is enabled for them, can be downloaded from the product. Company and account deletion are described in the Privacy Policy.
Bank connections
If bank connections are enabled and you connect an institution, you authorize Comma and Plaid Inc. to retrieve account and transaction data on your behalf. Bank data can be delayed, incomplete, or changed by the institution, so review it before posting or relying on it. Comma cannot initiate a bank transfer through the bank-feed connection. You can disconnect an institution; retention and permanent-deletion options are explained in the Privacy Policy.
AI connectors
Connecting a third-party AI assistant is optional. Its access is limited by the current role and scopes of the person who connected it, and it can be revoked from Settings → Connections. Personal and income-tax connector tools are not discoverable or callable unless that verified account is enabled for the private preview. A connected assistant can make mistakes, so review actions and outputs before relying on them. You are responsible for the permissions and instructions you give it. The assistant provider's own terms and privacy policy also apply to its handling of data.
Acceptable use
Do not use Comma to break the law, access another user's or company's data without permission, evade security controls, probe or disrupt the service, distribute malware, overload the service, or help another person do any of those things. Do not upload content you do not have the right to use.
Availability & third parties
Beta software can contain defects or experience interruptions. Comma does not promise uninterrupted availability or that every error will be found. Keep exports needed for your own continuity and meet filing or payment deadlines independently of service availability. Plaid, banks, email providers, hosting providers, and AI assistants are third-party services whose availability and terms Comma does not control.
Suspension & termination
You can stop using Comma and use the in-product deletion controls at any time. We may limit or suspend access to address a security risk, legal requirement, non-payment, or material breach of these terms. Where circumstances permit, we will give notice and a reasonable opportunity to correct the issue or export data before permanent termination.
Disclaimers & liability
To the extent permitted by applicable law, Comma is provided "as is" and without implied warranties. Comma is not responsible for decisions made from unreviewed records or generated output, or for indirect, incidental, special, or consequential loss arising from use of the service or a third-party integration. Nothing in these terms excludes rights or liability that applicable law does not allow us to exclude.
Changes
We may update these terms and will change the date above. We will provide reasonable notice of material changes through the service or by email. If you do not agree, stop using the service before the change takes effect; continued use after that date means you accept the updated terms.
